A clear understanding.

Welcome to TalkBrief. These Terms are an agreement between you and Lin Zhiwu (林志武) ("we", "us") about your use of the TalkBrief iPhone app, Apple Watch app, widgets and web viewer (the "Service"). Please read them before you agree, especially the parts in bold.

1. Accepting and changing these Terms

1. By ticking the consent box on the sign-in screen and signing in, you accept these Terms and the TalkBrief Privacy Policy. If you do not agree, do not use the Service.
2. We may update these Terms. We will tell you about material changes in the app and ask you to agree again. If you do not agree, you may stop using the Service and delete your account.

2. The Service

TalkBrief records and imports audio of work conversations, produces transcripts, summaries, tasks and answers, and can sync to your iCloud or send to third-party tools you choose. Some features run on your device and some need cloud processing, as described in the Privacy Policy. Features may change, be added or be removed.

3. Your account

1. You need a TalkBrief account, created or accessed with Apple or Google. Your first sign-in creates the account. You can add or remove sign-in methods for the same account on the Account page; different sign-in methods are never merged automatically because they share an email address.
2. You must be at least 16 years old. If you are younger, do not use the Service.
3. Your account is for you only. Keep your devices and the Apple Account or Google account you sign in with secure. You can see signed-in devices and sign out other devices on the Account page.
4. Your TalkBrief account, your App Store purchase account and your iCloud account are three different accounts; the Privacy Policy explains how they relate.

4. Your content

1. Audio you record or import, and its transcripts, summaries and notes ("Your Content"), belong to you and to your TalkBrief account. They are stored on your devices and in your iCloud; TalkBrief does not keep them long term on its own servers.
2. You allow us and the service providers we engage to process the relevant content temporarily, only to provide features you request, such as cloud transcription, AI summaries and Ask. We do not use Your Content to train AI models and we do not sell it.
3. Before recording, you must inform and obtain consent from the people being recorded as required by applicable law. You are responsible for the lawfulness of your recordings, their content and how you use them.
4. When you sign out, Your Content is hidden and returns when you sign in again. When you delete your account, Your Content is permanently deleted (Section 11). Keep your own backups of anything important.

5. AI features

1. Transcripts, summaries, tasks, answers and translations are generated automatically and may be inaccurate or incomplete. Check them against the original recording, and do not rely on AI output alone for legal, medical, financial or other important decisions.
2. AI output does not represent our views and is not professional advice.

6. Subscriptions and payment

1. Pro subscriptions are purchased through the Apple App Store and billed by Apple. Prices, free trials and billing periods are as shown at purchase.
2. Subscriptions renew automatically unless you cancel in your Apple Account settings at least 24 hours before the end of the current period. Refunds are handled by Apple under its policies.
3. Features and usage limits for Free and Pro are as described in the app. Limits are counted per account and per subscription; re-registering, changing devices or restoring purchases does not reset cloud transcription time already used.
4. A subscription belongs to one TalkBrief account at a time. Use Restore Purchases to link an eligible subscription to your current account.
5. Signing out or deleting your account does not cancel your App Store subscription.

7. Acceptable use

You must not:

• record others without consent, or collect or use other people's personal information unlawfully;
• upload or process unlawful or infringing content;
• bypass usage limits, forge purchase proofs, or interfere with, attack or reverse engineer the Service (except as the law allows);
• access the Service by automated means at scale, or sell or rent your account.

8. Third-party services

When you connect tools such as Notion, Slack, Discord, Google Docs, OneNote, Obsidian or Apple Reminders, content you send to them is governed by their terms and policies. We are not responsible for their availability or how they handle content.

9. Intellectual property

The Service, its software, interface and marks belong to us or our licensors. We grant you a personal, non-transferable, non-exclusive licence to use the Service on Apple devices you own or control.

10. Suspension and termination

If you seriously breach these Terms or the law, we may restrict or disable your account, with notice where possible. If we discontinue the Service as a whole, we will announce it at least 30 days in advance so you can export content stored on your devices and in iCloud.

11. Deleting your account

1. You can delete your account at any time in Profile › Account › Delete Account. You will verify your identity again; if Apple is linked to the account, you verify with Apple.
2. Deletion permanently removes your account information and all recordings, transcripts, summaries and notes in that account, including copies on your devices and in iCloud. It cannot be undone. Use Export All Data first if you need a copy.
3. Content you already exported or sent to other apps, third-party tools or Apple Reminders is not affected. Limited accounting records are kept as described in the Privacy Policy.
4. You can register again with the same sign-in method afterwards; you will get a new, empty account.

12. Disclaimers and limitation of liability

1. To the extent permitted by law, the Service is provided "as is". We work to keep it reliable but do not promise it will be uninterrupted or error-free, or that recordings and sync will never be lost.
2. To the extent permitted by law, we are not liable for indirect losses, and our total liability to you is limited to the amount you actually paid for the Service in the 12 months before the event. Liability that cannot be excluded by law is not affected.

13. Apple terms

These Terms are between you and us only, not Apple. Apple is not responsible for the Service or its content, maintenance or support. If the Service fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). We, not Apple, are responsible for handling product liability, intellectual property and other claims relating to the Service. You confirm you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

14. Governing law and disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. Disputes will first be resolved by good-faith negotiation; failing that, they go to the competent people's court in Shenzhen, China. Mandatory consumer protections of your place of residence are not affected.
